Terms & Conditions

These Terms & Conditions (“Terms”) govern the wholesale sale of products by 21 Wholesale Distribution (“Company,” “we,” “our,” or “us”) to approved business customers (“Retailer,” “Customer,” or “you”).

By applying for an account, placing an order, or purchasing products from us, you agree to be bound by these Terms.

1. Wholesale Eligibility

21 Wholesale Distribution sells exclusively to licensed retail businesses.

To qualify for a wholesale account, you must:

  • Operate a registered business entity

  • Provide valid state and local licenses (including tobacco license, if applicable)

  • Provide resale certificate or tax exemption documentation where required

  • Be approved by our internal account verification process

We reserve the right to approve, deny, suspend, or terminate any account at our discretion.

2. Product Categories & Regulatory Compliance

Our inventory may include tobacco products and other regulated goods.

By purchasing from us, you represent and warrant that:

  • You hold all required licenses to legally sell regulated products in your jurisdiction

  • You comply with all federal, state, and local laws

  • You will not resell products unlawfully

We are not responsible for regulatory violations committed by Retailers.

3. Orders & Pricing

All orders are subject to acceptance by 21 Wholesale Distribution.

  • Pricing is subject to change without prior notice

  • Product availability is not guaranteed

  • We reserve the right to limit quantities

  • Promotions or discounts may be modified or discontinued at any time

Orders are considered final once confirmed and processed.

4. Payment Terms

Payment is due at the time of purchase unless otherwise agreed in writing.

We may accept:

  • Cash

  • Debit/Credit Card

  • Other approved payment methods

We reserve the right to refuse orders for unpaid balances or payment disputes.

Returned checks or chargebacks may result in account suspension.

5. Delivery & Pickup

We offer delivery services and/or cash-and-carry pickup options within our service areas (Massachusetts and New Hampshire).

Delivery terms:

  • Delivery schedules may vary

  • Customer must inspect products at time of delivery

  • Claims for missing or damaged items must be reported immediately

Risk of loss transfers to the Retailer upon delivery or pickup.

6. Returns & Damages

All sales are final unless otherwise approved.

Returns may be accepted only if:

  • Products are defective

  • Incorrect items were delivered

  • Claims are made within 24 hours of receipt

Products must remain unopened and in original packaging.

We reserve the right to deny returns that do not meet these conditions.

7. Taxes

Retailers are responsible for all applicable sales taxes, excise taxes, and regulatory fees.

Valid resale documentation must be provided prior to tax exemption eligibility.

8. Account Suspension or Termination

We may suspend or terminate accounts for:

  • Failure to comply with laws

  • Fraudulent activity

  • Payment disputes or chargebacks

  • Violation of these Terms

Termination does not waive outstanding payment obligations.

9. Limitation of Liability

21 Wholesale Distribution shall not be liable for:

  • Indirect or consequential damages

  • Loss of profits

  • Regulatory penalties incurred by Retailers

  • Product misuse or improper storage

Our maximum liability shall not exceed the total purchase price of the affected order.

10. Indemnification

Retailer agrees to indemnify and hold harmless 21 Wholesale Distribution from any claims, damages, losses, or legal expenses arising from:

  • Retailer’s regulatory violations

  • Improper resale

  • Misrepresentation of products

  • Failure to comply with laws

11. Governing Law

These Terms shall be governed by the laws of the Commonwealth of Massachusetts.

Any disputes shall be resolved in courts located in Massachusetts.

12. Modifications

We reserve the right to update or modify these Terms at any time.

Updated versions will be posted on our website with a revised effective date.

Continued purchasing constitutes acceptance of updated Terms.
